Support in drafting board charters, constitutions, and governance frameworks.
Coordinate board and committee meetings, prepare notices, agendas, and resolutions.
Maintain statutory registers and ensure timely filing of returns with regulators.
Monitor compliance with corporate governance codes, listing requirements, and internal policies.
Assist in due diligence for acquisitions, joint ventures, and strategic partnerships.
Draft and review transaction documents (share purchase agreements, NDAs, term sheets, etc.).
Coordinate with external counsel and advisors during the deal structuring and execution process.
Support integration of acquired entities into the Company’s governance and legal framework.
Draft, review, and negotiate contracts, MOUs, and commercial agreements.
Provide legal opinions and advice to business units on day-to-day operations.
Manage risk by identifying potential liabilities in contracts and transactions.
Ensure that contractual obligations are tracked and complied with.
Ensure compliance with all statutory, regulatory, and industry-specific laws.
Liaise with regulators, government agencies, and external legal advisors.
Support the implementation of compliance frameworks across the business.
Assist in managing legal audits and investigations.
Monitor and manage ongoing litigation matters with external counsel.
Prepare case briefs, evidence, and internal reports as required.
Support in negotiating settlements and alternative dispute resolution processes.
Requirements
Minimum of a first degree in Law (with a minimum of a 2:2).
4 – 6 years of strong cognate experience within the oil and gas space.
Strong corporate commercial background.
Experience within the oil and gas space will be an added advantage.
Previous in-house counsel experience in energy or financial services is preferred.
Expert knowledge and use of Microsoft Office Suite (MS Word, Excel, PowerPoint, etc.)
Master’s in Law (LLM) would be an added advantage.
